This full-day session is aimed to familiarise participants
with the Corporate Liability Provision and its implications
to commercial organisations, their Partners, Directors and
Management. The main focus is on the implication of the
Corporate Liability Provision, the extent of its coverage,
overview of the Ministerial Guidelines issued by the
Minister in the Prime Minister’s Office on developing
Adequate Procedures, the “lines of defence” available to
those charged with governance (i.e. the Partners,
Directors and Management). Case studies will also be
discussed to elucidate the implication of this Corporate
Liability Provision to better prepare stewards of
commercial organisations against prosecution. More
importantly, the Facilitator will share with participants
on a “step-by-step” approach on how to develop such
Adequate Procedures in line with the 5 Principles
promulgated by the Ministerial Guidelines as well as
excerpts of the ISO37001:2016 Anti-Bribery
Management System. Other legislations like the
Companies Act 2016 and the Malaysian Code on
Corporate Governance, insofar as they relate to
equivalent offences, the UK Bribery Act 2010 and the US
Foreign Corrupt Practices Act 1977 will also be discussed
in conjunction with the Corporate Liability Provision.
